The Service includes, but is not limited to, the following core functionalities and features:

  • Lead Management and Tracking: Comprehensive lead capture, organization, categorization, and tracking systems with customizable lead stages, tags, and follow-up scheduling capabilities
  • Email Automation and Templates: Advanced email marketing tools including customizable templates, automated follow-up sequences, email tracking, and integration with popular email platforms
  • Task and Calendar Management: Integrated scheduling system with appointment booking, reminder notifications, task assignment, and calendar synchronization with external calendar applications
  • Deal Pipeline Tracking: Visual pipeline management with customizable stages, deal progression tracking, commission calculations, and closing date management
  • File Management and Storage: Secure document storage, file organization, document sharing capabilities, and integration with popular cloud storage services

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and we shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. User Accounts and Registration

3.1 Account Creation and Registration Requirements

To access and utilize our Service, you must create an account by providing accurate, current, complete, and truthful information as prompted by our registration forms. You represent and warrant that all information provided during the registration process is accurate, current, and complete. You agree to maintain and promptly update your account information to ensure it remains accurate, current, and complete at all times.

3.3 Account Suspension and Termination

Upon termination, your right to use the Service will cease immediately, and we may delete your account and all associated data in accordance with our data retention policies.

4. Subscription and Payment Terms

4.1 Subscription Plans and Pricing

We offer various subscription plans designed to meet the diverse needs of real estate professionals at different stages of their business development. Our pricing structure is designed to be transparent and scalable, allowing you to choose the plan that best fits your business requirements and budget constraints.

All subscription plans are billed on a monthly basis unless otherwise explicitly specified in writing. We reserve the right to modify our pricing structure at any time, provided that we provide you with at least thirty (30) days written notice of any price changes. Price changes will not affect your current billing cycle but will apply to subsequent billing periods.

4.2 Payment Terms and Billing Procedures

By subscribing to our Service, you authorize us to charge your designated payment method for all fees associated with your subscription. You agree to provide us with accurate, current, and complete billing information and to promptly update such information as necessary to ensure the continued accuracy of your billing records.

Our payment terms include the following provisions:

  • Billing Schedule: All fees are due and payable in advance on a monthly basis, with payments processed automatically on your billing anniversary date

The free trial is intended for evaluation purposes only and is subject to specific limitations and restrictions designed to prevent abuse and ensure fair usage of our resources.

The free trial includes access to the following features and limitations:

  • Lead Management: Limited to a maximum of ten (10) leads in your CRM system at any given time
  • Email Templates: Access to basic email templates with limited customization options
  • Core CRM Functionality: Full access to lead tracking, task management, and basic reporting features
  • No Credit Card Requirement: Trial accounts can be created without providing payment information
  • Support Access: Email support for trial users with standard response times
  • Data Retention: Trial data may be subject to different retention policies than paid accounts
Important Notice: The free trial program is provided as a courtesy for evaluation purposes only. Trial accounts are subject to significant limitations and are not intended for ongoing business use. To access the full range of features and remove all limitations, a paid subscription is required. We reserve the right to modify or discontinue the free trial program at any time without notice.

5. Acceptable Use Policy

5.1 Permitted Uses and Authorized Activities

You may use our Service solely for legitimate real estate business purposes in accordance with these Terms and all applicable laws and regulations. The Service is designed specifically for real estate professionals and may be used for the following authorized activities:

  • Client Relationship Management: Managing and maintaining relationships with real estate clients, prospects, and customers
  • Lead Tracking and Management: Capturing, organizing, and tracking potential clients and sales opportunities
  • Real Estate Transaction Management: Managing the complete lifecycle of real estate transactions from initial contact through closing

5.2 Prohibited Uses and Unauthorized Activities

You are strictly prohibited from using our Service for any unlawful, unauthorized, or inappropriate purposes. The following activities are expressly prohibited and may result in immediate account termination and legal action:

  • Illegal Activities: Using the Service to violate any applicable local, state, federal, or international laws, regulations, or ordinances
  • Intellectual Property Violations: Infringing upon or violating the intellectual property rights of others, including copyrights, trademarks, patents, trade secrets, or other proprietary rights
  • Harmful Content: Transmitting, uploading, or distributing any content that is harmful, offensive, defamatory, obscene, or otherwise objectionable
  • Unauthorized Access: Attempting to gain unauthorized access to our systems, networks, or other users' accounts through hacking, password mining, or other means

  • Service Interference: Interfering with or disrupting the Service, servers, or networks connected to the Service

  • Commercial Resale: Reselling, sublicensing, or otherwise commercializing access to the Service without our written permission

  • Uptime Target: We aim to maintain 99.9% uptime for our core services, excluding scheduled maintenance windows
  • Maintenance Windows: Scheduled maintenance is typically performed during low-usage hours with advance notice provided to users
  • Emergency Maintenance: Critical security updates or emergency maintenance may be performed with minimal notice when necessary
  • Performance Monitoring: Continuous monitoring of system performance and proactive resolution of potential issues

7.2 Technical Support and Customer Service

We provide comprehensive technical support and customer service to ensure you receive the maximum value from our Service. Our support offerings are designed to address your needs quickly and effectively, with different support levels available based on your subscription plan.

Our support services include:

  • Email Support: Available to all users with response times varying by subscription level
  • Priority Support: Enhanced support for paid subscribers with faster response times and dedicated support channels

8. Intellectual Property Rights and Ownership

All rights, title, and interest in and to the Service and Service Content, including all intellectual property rights therein, are and will remain the exclusive property of Local Edge Marketing Co. and its licensors. The Service is licensed, not sold, to you for use strictly in accordance with these Terms.

8.2 Your Intellectual Property Rights

You retain ownership of all data, content, and information that you input, upload, or create within our Service. This includes, but is not limited to, customer information, lead data, documents, images, and any other content you create or upload to the Service. You grant us a limited, non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing the Service.

You represent and warrant that you have all necessary rights, licenses, and permissions to use and upload any content to our Service, and that such use does not infringe upon the intellectual property rights of any third party.

9. Limitation of Liability and Disclaimers

To the maximum extent permitted by applicable law, Local Edge Marketing Co., its officers, directors, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service or any inability to access or use the Service.

Our liability is limited as follows:

  • Maximum Liability: Our total liability to you for any claims arising from the use of our Service shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim
  • Excluded Damages: We shall not be liable for any indirect, consequential, incidental, special, or punitive damages
  • Force Majeure: We shall not be liable for any delays or failures in performance due to circumstances beyond our reasonable control
  • Third-Party Services: We are not responsible for the performance, reliability, or availability of any third-party services integrated with our Service
Important Legal Notice: The limitations of liability set forth in this section are fundamental elements of the basis of the bargain between you and Local Edge Marketing Co. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Indemnification and Defense Obligations

You agree to defend, indemnify, and hold harmless Local Edge Marketing Co. and its officers, directors, employees, agents, partners, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your content caused damage to a third party
  • Your violation of any applicable law, regulation, or ordinance
  • Any misrepresentation made by you

This defense and indemnification obligation will survive these Terms and your use of the Service. You agree that we shall have the right to control the defense or settlement of any such claims.

11. Termination and Account Cancellation

11.1 Termination by You

You may cancel your subscription and terminate your account at any time through your account settings or by contacting our customer support team. Upon cancellation, your access to the Service will continue until the end of your current billing period, after which your account will be deactivated and your access will cease.

To cancel your subscription, you may:

  • Submit a written cancellation request through our designated channels

11.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Grounds for termination include, but are not limited to:

  • Engaging in fraudulent, abusive, or illegal activities
  • Non-payment of fees or other charges
  • Use of the Service in a manner that could harm other users or our systems
  • Providing false or misleading information during registration

11.3 Effect of Termination

Upon termination of your account, the following will occur:

  • Your right to use the Service will cease immediately
  • We will retain your data for thirty (30) days following termination
  • After the thirty-day period, your data may be permanently deleted from our systems
  • You will remain responsible for any fees or charges incurred prior to termination
  • All provisions of these Terms which by their nature should survive termination shall survive termination

12. Refund Policy and Money-Back Guarantee

  • Partial refunds for partial months of service

14. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Summit County, Ohio, United States.

You agree to submit to the personal jurisdiction of the courts located within Summit County, Ohio, and waive any objection to venue in such courts. Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or prevent irreparable harm.

15. Dispute Resolution and Arbitration

Any disputes, claims, or controversies arising out of or relating to these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"). Arbitration provides a faster, more cost-effective alternative to traditional litigation while ensuring a fair and impartial resolution process.

The arbitration process will be conducted as follows:

  • Arbitration Location: All arbitrations shall be conducted in Summit County, Ohio, unless otherwise agreed by the parties
  • Arbitrator Selection: A single arbitrator shall be selected in accordance with AAA rules
  • Arbitration Rules: The arbitration shall be conducted under the AAA Commercial Arbitration Rules
  • Discovery: Limited discovery shall be allowed as determined by the arbitrator
  • Award: The arbitrator's award shall be final and binding, and judgment may be entered thereon in any court of competent jurisdiction

Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm or to protect intellectual property rights.

16. Severability and Enforceability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms and the remaining provisions shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable.

This severability clause ensures that if any individual provision of these Terms is found to be unenforceable, the remainder of the agreement will continue to be binding and enforceable. The parties agree that if any provision is determined to be invalid, the court should attempt to give effect to the parties' intentions as reflected in the provision.

17. Entire Agreement and Integration

These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and Local Edge Marketing Co. regarding the use of the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties relating to the subject matter hereof.

No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties. The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision of these Terms.
